01Sponsor and prize provider

Sponsor: SEEDS AND WATER BAKERY CAFE AND BAR, a California corporation (Entity No. C4575907), 6982 Beach Blvd, Unit C-213, Buena Park, CA 90621.

Prize provider: the suite seats awarded as prizes were purchased by Southern California Restaurant Company, 20 Lowland, Irvine, CA 92602, an affiliate of Sponsor, and are supplied to Sponsor for this promotion.

The Seed & Water Grand Open Event (the “Promotion”) — the concert ticket promotion advertised on our Grand Opening page — is administered solely by Sponsor at the Seed & Water location inside The Source OC, 2F, 6982 Beach Blvd, Unit C-213, Buena Park, CA 90621.

02Eligibility

Open only to legal residents of the State of California who are 18 years of age or older as of Saturday, August 1, 2026. Void outside California and wherever prohibited or restricted by law.

Employees, officers, directors, and contractors of Sponsor and of its parent, affiliates, and subsidiaries, and the immediate family members and household members of each, are not eligible to enter or win.

Sponsor may require proof of age and California residency before awarding any prize. One prize per person and per household.

03How to enter

There are four ways to enter. All four are free. No purchase is required, and making a purchase will not improve your chance of winning. Every eligible entry goes into the same pool and is treated identically in the drawings.

Every entry must include first and last name, email address, mobile phone number, date of birth, and a California ZIP code, and must confirm agreement to these Official Rules. Incomplete, illegible, or unverifiable entries will be disqualified.

04Accessibility and accommodations

Sponsor is committed to making this promotion accessible to entrants with disabilities, consistent with the Americans with Disabilities Act, the California Unruh Civil Rights Act, and the California Disabled Persons Act.

Website

The entry form and these Official Rules are designed to follow the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA: text alternatives, keyboard navigation, visible focus indicators, form labels tied to their inputs, and colour contrast that does not rely on colour alone to convey meaning. If you encounter a barrier on any page of this promotion, tell us using the contact method in Section 17 and we will provide the same information or function through another channel promptly and at no cost to you.

Entering

You do not need to use the website to enter. Any of the following is available free of charge, and using one does not reduce your chance of winning:

• A team member will complete the entry form for you, in store, if you tell them your information. You do not need to state a reason.
• These Official Rules and the entry form are available in large print on request.
• A companion, aide, or family member may complete an entry on your behalf and at your direction, provided the entry is in your name and you meet the eligibility requirements.
• Service animals are welcome at the store. The store entrance, counter, and restrooms are on an accessible path of travel within The Source OC.
• If none of these work for you, email us and describe what you need. We will find a way.

Attending the event

If you win, tell Sponsor as soon as you are notified if you or your guest need an accessibility accommodation at the venue — including accessible or companion seating, a wheelchair-accessible route, assistive listening, or any other arrangement. Sponsor will pass the request to the venue operator, which supplies venue accommodations under its own legal obligations, and Sponsor will work in good faith to have the request met. Sponsor will not charge you for making the request or for the accommodation itself. Sponsor does not control SoFi Stadium and cannot guarantee a specific venue accommodation, but if a needed accommodation cannot be arranged, Sponsor will substitute a prize of equal or greater value under Section 6.

05Entry period

Entries are accepted only on Saturday, August 1, 2026, between 11:00 AM PT and 5:00 PM PT. Sponsor opens entry at the start of the period and closes it at the end of the period. Entries submitted while entry is not open are not accepted. Sponsor may pause entry briefly during the period — for example while a drawing is being run on stage — and the promotion website will say so. Sponsor’s own record of when each entry was received is the official record for this promotion.

06Prize

What the prize is

The prize is admission for two people to a shared private suite. Winners and their guests will share the suite with other guests of Sponsor and its affiliate. The prize is not a private suite, not a specific seat assignment, and not a meet-and-greet or any other artist access. Doors and start time are set by the venue and printed on the ticket.

What the prize does not include

Transportation, parking, lodging, meals, beverages, merchandise, gratuities, and every other expense are the sole responsibility of the winner unless expressly stated above.

Admission conditions

Admission may require Sponsor to submit each attendee’s full legal name to the venue operator in advance, and that submission may have a deadline that falls well before the event. Each attendee must present government-issued photo identification matching the name submitted. All attendees must comply with the venue code of conduct and with all terms imposed by the artist, the promoter, the ticket issuer, and the venue operator, including any age restriction applied to suite areas. Sponsor may withhold or revoke a prize if the venue operator declines admission for any reason outside Sponsor’s control.

No resale

A prize is awarded to the winner personally. The winner may not sell, auction, barter, or otherwise transfer the prize or either seat for money or anything of value, and may not exchange the prize for cash. This is a condition of receiving the prize and each winner confirms it in the Affidavit of Eligibility and Liability Release. It restricts what the winner may do with the prize once awarded; it does not limit Sponsor’s ability to award the prize, and it does not restrict any ticket that Sponsor sold, because Sponsor sells no tickets.

Your guest

Each prize admits two people. The winner chooses the second attendee, who does not have to be named when you enter and does not have to be a relative or anyone in particular. Because the venue may require attendee names in advance, the winner must give Sponsor the guest’s full legal name by the date stated in the winner notification. Up to that date the winner may change the guest at any time and for any reason. After it, a change depends on what the venue permits, and Sponsor will ask on the winner’s behalf. Nothing here allows a winner to sell or trade the second seat.

Attendants, interpreters, and service animals

If a winner or guest requires a personal care attendant, a sign language interpreter, or a service animal because of a disability, that attendant, interpreter, or animal is not counted as the guest and is admitted in addition to the two attendees, subject to the venue’s accessibility procedures.

Sponsor will not charge you for the accommodation itself. Sponsor arranges the additional admission and passes any request for auxiliary aids, accessible seating, or an assistive listening device to the venue operator, which supplies those under its own legal obligations. Sponsor does not add a fee, reduce the prize, or ask a winner to give up the guest seat in exchange.

What remains the winner’s responsibility.As with every other attendee, the winner is responsible for the personal expenses of anyone accompanying them, including any attendant: transportation, parking, lodging, meals, beverages, and merchandise. The winner is also responsible for the attendant’s own fees or wages and for personal devices such as a wheelchair or hearing aid. These are services and items of a personal nature, and Sponsor does not provide or pay for them for any attendee. See Section 4 for how to request an accommodation.

Substitution

Sponsor may substitute a prize of equal or greater value if the advertised prize becomes unavailable or cannot be delivered for any reason, including cancellation, postponement, or rescheduling of the event, venue restrictions, or an accessibility accommodation that cannot be arranged.

07Odds of winning

Prizes are awarded in 5 separate drawings, one winner each. Odds are not the same for every entrant, and they depend on when you enter.

Within any single drawing every eligible entry has an equal chance. Not winning a drawing does not remove you from later drawings. An entry stays in the pool for every remaining drawing until the promotion ends. Across the promotion, an entrant who enters before 1:00 PM is eligible for up to five drawings and an entrant who enters at 4:30 PM is eligible for one.

No one may win more than one prize. An entrant who wins is removed from all later drawings. There are no alternate winners: each drawing selects exactly one winner from the entries eligible at that moment.

Odds in each drawing depend on the number of eligible entries at that time, which Sponsor cannot estimate in advance. The actual entry count and the resulting odds for every drawing are posted with the winners list at /event/winners.

08Drawings, notification, and announcement

On Saturday, August 1, 2026 Sponsor holds 5 separate random drawings, each awarding one prize. The drawings are run in store at approximately 1:00 PM, 2:00 PM, 3:00 PM, 4:00 PM, 5:00 PM Pacific Time and announced from the main stage immediately afterwards. The stated times are approximate: a drawing may run a few minutes early or late depending on the stage programme.

Each drawing draws from every valid entry received up to that moment, minus anyone who has already won an earlier drawing. Entries that did not win an earlier drawing remain in the pool. No entrant may win more than once.

For every drawing the software records the random seed and a cryptographic hash of that drawing’s entrant pool, so each result can be reproduced and verified afterwards. Sponsor retains those records and will make them available on request to an entrant, a regulator, or an independent auditor. Sponsor’s decisions are final and binding in all matters relating to this promotion.

You do not need to be present to win.Winners are contacted by Sponsor by email and text message using the contact information submitted with the entry, and Sponsor records the date, time, and channel of every attempt. Sponsor will keep trying to reach a winner. If Sponsor cannot reach a winner in time to arrange admission before the venue’s attendee deadline, or if a winner turns out to be ineligible or declines the prize, that prize is not awarded and Sponsor will say so with the winners list.

Names may be read aloud at the announcement, and the announcement may be recorded or streamed. Being present is not required and confers no advantage. In public Sponsor publishes first initial, last initial, and ZIP code only; full names are never published without the separate written consent described in Section 13.

Before a prize is released, each winner must sign and return an Affidavit of Eligibility, a Liability Release, and, where lawful, a Publicity Release, and must provide proof of age and California residency.

09Additional drawings

Sponsor holds additional suite seats and may run further ticket events after this one. Any additional event will have its own Official Rules, published on the promotion website before entries open for it.

Sponsor also reserves the right, in its sole discretion, to award additional prizes of equal or lesser value from the entries received in this promotion. If Sponsor does so, the additional prizes and the revised odds will be posted on the promotion website before those prizes are awarded.

10Taxes

All federal, state, and local taxes on a prize are the sole responsibility of the winner. The approximate retail value of each prize is $1,510.20; winners are encouraged to consult their own tax advisor about how to report it.

Sponsor does not collect Social Security Numbers or Taxpayer Identification Numbers through this promotion, and will not ask a winner for one. Sponsor will meet any reporting obligation of its own using information it already holds. Providing a tax identification number is not a condition of receiving a prize.

11Privacy and the information we collect

This section is Sponsor’s notice at collection under the California Consumer Privacy Act as amended by the California Privacy Rights Act (CCPA/CPRA). It applies to everything collected through this promotion.

What we collect, why, and how long we keep it

We do not collect Social Security Numbers, Taxpayer Identification Numbers, or any other sensitive personal information in this promotion.

Where it comes from and who receives it

We collect this information directly from you, or from a team member entering it at your direction. We disclose it only to: service providers that host or maintain our systems, under contract and only for that purpose; the venue operator, for the winner and guest names needed for admission; and government authorities where the law requires.

We do not sell your personal information, and we do not share it for cross-context behavioural advertising. We do not use it to train any automated decision-making or profiling system.

Financial incentive notice — Civil Code §1798.125(b)

This promotion offers a prize in connection with the collection of personal information, which makes it a financial incentive program under the CCPA. Participation is entirely voluntary and requires your affirmative opt-in when you submit an entry. You may withdraw at any time before the drawings by emailing us; your entry will be deleted and you will simply not be entered.

Sponsor has estimated the value of the personal information collected from each entrant as the total approximate retail value of all prizes ($7,551.00) divided by the number of eligible entries received. Sponsor reached this figure in good faith using the prize cost it actually incurred, and believes it bears a reasonable relationship to the value of entrant data to Sponsor. Sponsor does not otherwise buy or sell entrant data.

Your rights

If you are a California resident you may ask us to tell you what personal information we hold about you, to correct it, or to delete it; and to opt out of any sale or sharing, although we do neither. We will never deny you entry, charge you a different price, or give you a lower level of service because you exercised a privacy right. To make a request, use the contact method in Section 17. We will verify your request by matching the details you gave when you entered.

12Email and text messages

Entry messages. By entering, you agree that Sponsor may contact you by email and text message about this promotion — confirming your entry, notifying you if you win, and arranging the prize. These are transactional messages and are necessary to run the promotion.

Marketing messages are separate and optional. The entry form has its own checkbox for marketing. It is not pre-checked. Agreeing to marketing is not a condition of entry or of winning, and it does not affect your chance of winning. If you do opt in, you consent under the federal Telephone Consumer Protection Act to receive marketing calls and texts from Sponsor, including messages sent using an automatic telephone dialing system. Message frequency varies; message and data rates may apply. Reply STOP to any text to stop, or HELP for help.

Every marketing email includes a one-click unsubscribe link and Sponsor’s physical mailing address, as required by the federal CAN-SPAM Act. We honour opt-out requests promptly.

Children.This promotion is not directed to children. We do not knowingly collect personal information from anyone under 13, consistent with the federal Children’s Online Privacy Protection Act, and entry is limited to adults 18 and older. If we learn we have collected information from a child under 13, we delete it.

13Publicity

Except where prohibited by law, accepting a prize constitutes permission for Sponsor to publish the winner’s first initial, last initial, and ZIP code in the winners list. Sponsor will not publish a winner’s full name, photograph, likeness, or voice, and will not use a winner in advertising, without that winner’s separate written consent.

14General conditions

By entering, each entrant agrees to these Official Rules and to the decisions of Sponsor, which are final and binding in all respects.

Sponsor may disqualify any person it reasonably believes has tampered with the entry process, entered more than once, submitted false information, violated these rules, or acted in a disruptive or abusive manner toward staff or other entrants.

Sponsor is not responsible for entries that are lost, late, misdirected, incomplete, illegible, or not received for any reason, or for technical failures of any kind, including network, hardware, or software failure. If the entry system is unavailable during the entry period, Sponsor will accept entries on paper at the store for the remainder of the period.

If this promotion cannot be conducted as planned for any reason, including infection by computer virus, tampering, fraud, or any cause beyond Sponsor’s reasonable control, Sponsor may cancel, modify, or suspend it and award the prizes from among the eligible entries received before the action was taken.

Limitation of liability.By entering, each entrant releases Sponsor and its parent, affiliates, subsidiaries, officers, directors, employees, and agents from any liability for injury, loss, or damage arising from participation in this promotion or from the acceptance, possession, or use of a prize, to the fullest extent permitted by law. Nothing in these rules limits any liability that cannot be limited under California law, and California Civil Code §1542 is not waived as to unknown claims arising from Sponsor’s own gross negligence or wilful misconduct.

Governing law. These Official Rules are governed by the laws of the State of California without regard to conflict-of-law principles. Any dispute arising from this promotion shall be resolved exclusively in the state or federal courts located in Orange County, California, and each entrant consents to that jurisdiction.

15Winners list

The first initial, last initial, and ZIP code of each winner, together with the number of eligible entries in each drawing and the resulting odds, will be posted at /event/winners as each drawing is completed on Saturday, August 1, 2026, and will stay posted for at least thirty (30) days. For a written winners list, email Sponsor using the contact method in Section 17 no later than September 1, 2026.

16Language

These Official Rules are published in English. Other pages of this website are offered in additional languages for convenience only. If a translation anywhere differs from these Official Rules, the English text of these Official Rules governs, except where California law requires otherwise. If you find a discrepancy, tell us using the contact method in Section 17 and we will correct it promptly. Store staff can explain these rules to you in person in Korean, Spanish, or English.
